Thanks to Marc Cohodes, We’re Back to the Bad Old Days at Overstock.com

  • Overstock.com (NASDAQ: OSTK) shares have soared in recent weeks, much of that due to hype concerning its t0 (tZERO) venture by CEO Patrick Byrne, and publicity generated by his chief advocate, former money manager Marc Cohodes, who has abruptly (and with scant explanation) reversed his formerly critical stance.
  • The hype-driven increase in the share price has overshadowed a longstanding negative factor in evaluating the company: the behavior, character and credibility of the CEO, who has a longstanding practice of accounting games, harassing critics and making untrue statements.
  • As he promotes his Overstock position, Cohodes has adopted some of Byrne’s most aggressive tactics. He has sought to intimidate and silence critics in private communications, and has waged an aggressive public campaign harassing skeptics on social media.
  • Without critical scrutiny by independent analysts and the financial press, investors are ill-served and the market is not sufficiently exposed to contrary points of view.

Overstock.com CEO Patrick Byrne is good at many things, but not running a public company. The company has cooked the books for years at a time, and as explored by money manager Dave Kranzler in this Seeking Alpha blog, Overstock is a “dumpster fire waiting to happen,” a cash-burning vehicle run by a hype-happy chief executive and floating on a cloud of hot air.

But Byrne is very good at hype and suppressing negative coverage, and we’ve seen much of the former and little of the latter lately. Overstock shares have climbed. Dissenting voices exist only on social media. There is little press coverage of the company that is skeptical or probing, and puff pieces predominate. The CEO’s long-established record of deception and odd behavior has been disregarded, even distorted. One recent CNNMoney article rewrote history by turning Byrne’s infamous “Sith Lord” fantasy into a metaphor, and not the paranoid delusion, referring to an imaginary person, that it actually was.

Reporters and analysts who have covered Overstock in the past know that critical scrutiny exacts a price in the form of personal attacks, sometimes against one’s spouse and family. As has been chronicled over the years by myself and others, Byrne and his employees and surrogates have bullied, threatened and stalked analysts, the press, and even ordinary citizens who speak out against the company and his methods.

Overstock is still benefitting—and the market continues to lose out—from this campaign of intimidation.

Little if any attention is paid to the fact that Byrne’s credibility was shattered by a devastating 2016 libel verdict which excoriated Byrne and found that the truth "was of no consequence” to him and his minions. His Deep Capture smear site, which was the subject of the still-pending libel action, has never been repudiated, and is used from time to time to counteract the sparse negative press coverage. Most recently, as noted in my last blog, Deep Capture was deployed against a Daily Beast reporter, who was accused of going over to the “dark side” when he made queries for this article.

In an increasingly difficult journalism environment, news organs and journalists can be forgiven for not wanting to deal with that kind of harassment.

Byrne has never withdrawn any of his smears against the media, nor disavowed and apologized for the underhanded tactics that he has used against the media and his critics over the years. They included stalking journalists like Barry Rithotz and their families (including their minor children), on Facebook. My understanding is that Byrne very recently privately reaffirmed his pride in his previous behavior, even as he occasionally makes vague and also private expressions of regret to win over critics.

He said in a 2011 deposition that Byrne was “not fit to run a public company,” and in December 2013 he was telling me in an email, after Byrne was sued for consumer fraud in California, that “all he does is lie.” (Click on image to enlarge.)

This was a statement of fact, not opinion. Yet all of a sudden, poof! The liar of December 2013 has become the Boy Scout of 2017. Remember that we are not talking about a high school student who used to fib. This is a grown man, 55 years of age, who was CEO of the same public company then and now.

Cohodes misrepresents concerns about Byrne, which relate to his current integrity and honesty, as the “2005 investment playbook.” He has nothing much to say except that he was “wrong” about Byrne. When queried about Byrne’s past record of nutty behavior, his response is along the lines of “what are you going to believe, me or your own two eyes?”

Cohodes began accumulating the stock in mid-2017 and started hyping it on October 10 at a Grant’s conference. His sudden, dramatic and unexplained “change of mind” about Byrne has paid off in multiple ways. My last Seeking Alpha blog described how his name mysteriously vanished from Deep Capture after he began to accrue shares, hype the company and slobber over Byrne.

Cohodes has not disputed the accuracy of my blog. He has called being mentioned in Deep Capture a “badge of honor.” That is hard to believe, considering that the references to him, though mild compared to the personal attacks directed at journalists targeted by Byrne, must have grated at this very thin-skinned and vain man.

Cohodes now describes Byrne, who he said did nothing but lie four years ago, as a “visionary.” He has never explained—and no member of the media has ever asked him—what happened, other than his acquisition of shares, turned a pathological liar into a “visionary.”

When it comes to the integrity of its CEO and the longtime practice of hounding critics, there isn’t a “new Overstock” or “new Patrick Byrne” any more than there was a “new Nixon” in 1968. Byrne, who has refrained from antics in recent months, now has Cohodes to roll down in the mud for him. He has become the kind of stock promoter that the Cohodes I knew a short while ago, before he loaded up on Overstock shares, would have found disgusting.

On Twitter, Cohodes tries to build a facade of respectability, thumping his chest over press freedom and over-eagerly praising journalists who haven’t crossed him. He spends a lot of time attacking CEOs who have only a fraction of Byrne’s evil track record. But his main passion is not shorting miscreants but shilling for one, and copying his new friend’s time-tested tactics.

In this blog I will describe how Cohodes and his allies have reprised the role that Byrne used to delegate to a small coterie of Internet hoods, led by a self-styled “black ops” hood named Judd Bagley. Bagley founded Deep Capture and engineered the cyberstalking and character assassination methods that made the company a laughingstock and toxic to analysts and the media, attacking critical reporters and boosting those who write superficial puff pieces or kiss his butt. Cohodes loves investigative reporting, except when it costs him money. He recently trashed CNBC, much as Byrne used to do, for not hyping Overstock.

Bagley founded the company’s much-hyped cryptocurrency initiative, but left when his forgery conviction and drug addiction made him too controversial even for Byrne. He is now director of communications at Evernym, Inc. in Utah.

While there is no new Overstock, but there is a new Bagley.

‘Lay off Byrne….. Leave him be, as a favor to me’

I first communicated with Marc Cohodes in late 2007 after I had already turned my life around, and had received favorable publicity by Joe Nocera (NY Times), Floyd Norris (NY Times) Brett Arends (Boston Herald), Herb Greenberg (Wall Street Journal and Market Watch), and many others (Documented here, here, and here) I had already taught about accounting fraud to dozens of law enforcement agencies, companies, professional groups, and universities. His public comments that he somehow fished me out of the gutter are, quite simply, lies.

Since he makes such a fuss about my failing to show him sufficient “loyalty,” I would like to point out that I have never done any compensated work for Cohodes, and he has never referred me to any person for paid work. I met him, stayed on his farm overnight when I taught at Stanford University, had dinner with him a few times, and attended his wedding. I gave him and his hedge fund friends a great deal of free forensic accounting advice and analysis. But I did not feel that either I was beholden to Cohodes or he to me. When I stopped by his house for dinner I did not sign away my conscience or agree to join him in pumping his future stock picks.

In late October, after I posted tweets showing mild concern about Byrne’s track record, I received the first of a series of incessant, manipulative, repetitive, sometimes delusional text messages from Cohodes, in which he portrayed himself as my long-lost savior and myself as an ungrateful child. (Full disclosure: I am a few years older than him.)

He wore me down and I consented. But his demand for silence just to line his pockets grated at me. He had no right, none whatsoever, to shut me up. Who did he think he was? It began to get me upset. I had many other friends who I knew a lot better than Cohodes who were slandered by Byrne and felt betrayed by Cohodes. Their feelings were no less important than his, arguably a lot more so. He believed that since he now owned the stock he was more worthy of deference than the many who did not.

Also, I thought that Cohodes was, to be frank, “losing it.” He had copied me on a bullying, guilt-trip email he sent to investigative reporter and author Gary Weiss a week earlier that was just plain creepy. (I describe the email below.) Mutual friends were expressing bewilderment, as well as irritation, about his behavior.

I told Cohodes that I could not in good conscience remain silent on Byrne simply because he, now a large Overstock shareholder, didn’t want me to.

The text messages started coming again. He wouldn’t leave me alone or respect our difference of opinion. He had built up in his mind that I “owed him.” He reminded me of the Jackie Gleason character, “Maish,” in Requiem for a Heavyweight, putting on the phony guilt, trying to force Mountain Rivera (Anthony Quinn) to act against his conscience.

The comment that Byrne “has let it go” bothered me. Let what “go”? That he had smeared people? Lied about them? How decent of him to “let it go” that he had behaved like a snake. It reminded me of the time Klaus Barbie was interviewed at his hideout in South America and said of his victims "I've forgotten. If they haven't, it's their concern.”

There was more infantile nagging, more manipulation, more guilt-tripping over imaginary “favors” he had done for me. He wouldn’t let up, but just kept going on and on. He was obsessed with getting me to shut up and join Team Overstock.

A few days later, Cohodes sent me a threat.

I responded by reminding Cohodes that “I repaired my reputation long before I met you among the people who matter.” But Cohodes wasn’t interested in reality.

Byrne offers to take down Deep Capture—for a little while

On Nov. 17, Cohodes texted me to say, “I have arranged a truce.” I then was contacted by a third party who Marc also was hounding. The so-called “truce” Cohodes/Byrne offered was laughable. Byrne would temporarily, for an unspecified period of time, take down Deep Capture if Gary Weiss and I deleted all of our tweets! Our tweets could not be reinstated but Byrne could and would put Deep Capture back up at the press of a button. For some reason that remains a mystery to me, our tweets were causing major angst on Salt Lake City. But not enough for Byrne to do more than offer a “deal” that was an insult to the intelligence.

I was aware by this point that Cohodes had already gotten himself edited out of Deep Capture. I was also aware that even permanently deleting Deep Capture at this late date would have been an empty gesture.

What is needed is to repair the reputational damage he has caused, not a “truce” or a “deal” but for Byrne to do the right thing: to retract his lies, apologize, and replace his Deep Capture smear site with a big, fat statement of contrition. He needs to retract all the smears that he planted in the media and that still occasionally pop up. He needs to make amends, not manipulate. He needs to keep in mind that even a retraction and apology, years after the slanders he published, would not mean much to a lot of victims of his malice, and that many no doubt would rightly reject his apology.

Byrne has a lot of work to do if he really wants to set things straight, so he had better get going. Which he will do just as soon as pigs fly and hell freezes over. Byrne is the same old con artist and smear peddler that he has ever been.

The personal attacks begin

After this “truce” nonsense was rejected, Cohodes began to turn up the attacks flowing from his increasingly vitriolic, bitter Twitter feed. His attacks became hysterical and personal after I published on Nov. 27 the Seeking Alpha blog, "Marc Cohodes Buys Stock And Vanishes From Overstock CEO's Smear Site.” In that blog I described how Cohodes was carefully edited out of Deep Capture after he began accumulating a stock position that he has described as “not small” and started hyping the company and putting Byrne on a pedestal.

Cohodes responded with two types of personal attacks, which he has repeated monotonously to this day, sometimes using identical wording. He never responded to the substance of my last blog and I expect more of the same for this one.

First, he criticized me for not owning or shorting the stock. His opinion is that only people with conflicts of interest, people "talking their book,” are worth a damn. That is the exact opposite of how things are in the real world, as opposed to whatever imaginary life Cohodes occupies at his chicken farm.

I hope that the reporters who suck up to Cohodes, or that he sucks up to, remember that the next time he tries to pitch them on something. To Cohodes their opinion is worthless, unless they agree with him. They’re “bleacher bums” who don’t have “skin in the game.”

He also has whined endlessly that because I had dinner at his place, and once held a chicken in front of the camera, I had committed a grave personal betrayal. As noted, that was due to a personal history that existed only in his mind.

Cohodes became more and more out of control on his Twitter feed, calling me a "Pathetic individual and a sociopath." He even had the bad taste to invoke my son, who passed away a few years ago, saying that he “supported Sam when he needed it the most during his son’s death.” That makes it seem as if he was sitting with me, an arm around my shoulder, comforting me in my grief.

That would have been awfully sweet of Cohodes if he had done that. But he didn’t. It just happened in his fertile imagination. He sent me a very nice, very brief email, as did hundreds of other people who are not asking me to pump their portfolios. People who actually did visit me and who were there for me think that Cohodes is off his rocker and despise Overstock. None of them has ever tried to manipulate or guilt-trip me over that or anything.

For him to even mention my son in an effort to make money on stock was cheap, unethical and infuriating. My family was deeply offended, and I think that Cohodes was intentionally trying to not only promote his miserable stock holdings by that tactic but also cause pain to me and my family. Not even Patrick Byrne stooped to such disgusting tactics.

His followers are so blinded by their money lust that quite a few of them actually “liked” that tweet (see screenshot below). Among them was Evan Lorenz, Deputy Editor of Grant’s Interest Rate Observer, where Cohodes made his Overstock pitch. Lorenz is “EL” in the screenshot. Lorenz is an active defender of Cohodes on Twitter, which doesn’t strike me as appropriate behavior for an editor of a respectable newsletter. (Click on image to enlarge.)

I wasn’t the only Overstock skeptic Cohodes has tried to bully and intimidate behind the scenes. His tactics have made people who knew him before Overstock concerned about the man.

One silencing effort that I became personally aware of, because he directly involved me, was an effort by Cohodes to bully investigative journalist Gary Weiss, a longtime critic of Overstock. It came after an exchange of tweets in October, initiated by Cohodes, on his embrace of Byrne. It was a perfectly civil difference of opinion, but it was unbearable to Cohodes.

Cohodes copied me and two journalists, Roddy Boyd and Bill Alpert, on a bizarre, bullying, creepy email that he sent Gary on Oct. 15, chiding him for the “shit” he was giving him.

By copying the three of us on his tantrum, Cohodes put myself, Roddy and Bill in an uncomfortable position, but particularly the two reporters. Cohodes is a major contributor to Roddy’s Southern Investigative Reporting Foundation (SIRF), one of the largest if not the largest donor in 2017. He should respect Roddy’s independence and not get him involved in anything having to do with his private squabbles or his portfolio interests. Bill had just written a brief article describing how Cohodes was now bullish on Overstock, and Cohodes showed little class in trying to get him involved.

Apparently, he felt that I and these two fine journalists would act as his tools and bring Gary to heel. But that didn’t happen and his crude intimidation effort was a flop. I’ve not posted the email and Gary’s response out of respect for the three journalists involved, but will do so if Cohodes lies about it.

Cohodes’s email used the same phony guilt-trip tactics that he later used on me. He made it seem as if Gary didn’t use his keyboard without calling Cohodes for his help and advice. Gary tells me that was a crock, that he has never met Cohodes and spoken to him only twice in his life, once five years ago and the other time in mid-2017 (the latter occasion being a complete waste of time). He was stunned that a person he barely knew would attempt to manufacture a relationship out of thin air to pressure him to act as he wanted on a stock promotion. It was, he said, some of the strangest behavior he has encountered in his many years of writing about the markets.

Cohodes doubles down on the smears

In recent weeks Cohodes has ratcheted up his embrace of Patrick Byrne’s smear tactics.

Some background: I first became interested in Overstock because Byrne used a technique that was unavailable to me when I was running the stock fraud at Crazy Eddie in the 1980s. Beginning around 2005, he deployed on his behalf a coterie of anonymous Internet trolls who swallowed his “naked short selling” conspiracy theory, and stalked and attacked critics of Overstock and other stocks that were being hyped at the time. Among their targets were members of the press, analysts and short-sellers.

At the time, women and Jewish journalists were subjected to misogyny and anti-Semitism by trolls on the Internet, mostly but not entirely anonymous. There were outright attacks on Jews by the likes of former Stratton Oakmont cold-caller Darren Saunders, and innuendo from Byrne. In 2005, blogger/money manager Jeffrey Matthews exposed what he recently described as “Byrne’s creepy, Bannon-like, anti-Semitic comments” in blog posts which can be found here and here. It should be noted that Matthews now is bullish on Overstock.

The widely followed blog The Stalwart observed at the time, referring to a Byrne missive discussed by Matthews, that “it's not a stretch to read an anti-Semitic tone into the letter.”

In his recent tweet, Matthews said that he hoped Byrne had “disowned” his comments. He hasn’t. He stands by everything he has said—including his anti-Semitic dog whistles.

As Byrne did back then, Cohodes uses a handful of Internet trolls as proxies. He retweets and likes their tweets and sometimes he is even photographed with them, so as to reward them for their “loyalty” by building up their following. But Cohodes has done worse than promote anonymous internet trolls.

Cohodes disseminates the thoughts of Ed Manfredonia

The most interesting Cohodes ally to emerge on Twitter in recent weeks is a resident of Queens named Edward Manfredonia.

I’ll let Manfredonia speak for himself. Here is a sampling of the literally thousands of posts and tweets that he has put out over the Internet. I’ve removed most names to not repeat the defamation:

Robert Morgenthau, New York County District Attorney, and [redacted] made certain that [the latter’s husband] could molest women. [Note: this is the most recent post on his blog, and has been on its front page for weeks.]

He is known to anyone who has followed Overstock for any period of time. And if you haven’t, a glance at his Twitter feed speaks for itself. (No, I’m not going to link to that pile of dung.)

A couple of days later he retweeted a lurid Manfredonia fabrication about Gary Weiss. Then he really hit bottom.

Aping his pal Byrne, a nutcase who has had no compunction about attacking the families of his critics, Cohodes “liked” a cowardly, disgusting attack not on Weiss but on Weiss’s long-deceased father, comparing this career U.S. Navy employee unfavorably with his own dad, whom he claimed was a war hero. Cohodes also liked two other Manfredonia tweets attacking Gary’s wife. The fact that Cohodes would retweet Manfredonia’s filth and approve of his vile attacks on family members shows the depths to which he has sunk, and how he has adopted Patrick Byrne’s gutter morality.

Cohodes cannot plead ignorance about Ed Manfredonia. Ed has been an outspoken Byrne fan since Deep Capture, which quoted and supported him, and a quick glance at his Twitter feed and blog would have made it clear to Cohodes the character of the person whose “work” he was disseminating.

At this point I have to interject that Manfredonia insists, over and over again, that he is not anti-Semitic. He repeatedly cites a 2007 letter that he solicited from the ADL. The letter is the lead illustration on his Twitter page. He says that the letter exonerates him from charges of anti-Semitism. Patrick Byrne and his henchman Judd Bagley agree. In a Deep Capture post on Feb. 9, 2008, Byrne enthusiastically endorsed Manfredonia and, citing that same ADL letter, insisted that he was not anti-Semitic. His henchman Bagley called him a “good and principled man.”

In fact, Byrne lied about the contents of the ADL missive.

The letter, still hosted on a Bagley website, simply says that the group was not getting involved in the dispute that Manfredonia brought to their attention (The ADL gets involved in major issues, not disputes between private parties). After Manfredonia resurfaced as a Cohodes ally, the former ADL lawyer who wrote that letter, Yael Mazar, confirmed to Gary Weiss via email: “The letter I wrote on behalf of ADL does not make any determination at all. It simply says that ADL cannot be involved nor make a determination.”

Byrne has never repudiated his lie about the ADL letter, his enthusiastic embrace of Manfredonia or the anti-Semitic innuendo that Jeffrey Matthews highlighted.

I don’t believe that Cohodes is anti-Semitic. What I do know is that he has lost all sense of proportion on Overstock.com, and is completely reckless and unscrupulous. He will stop at nothing to hype the hell out of that stock and to attack people who get in his way.

I’m sure that Cohodes will respond to the above by saying that all of the above are irrelevant to the new, vibrant, changed Overstock and its “visionary” CEO. So why has he made Manfredonia relevant? Why has Cohodes retweeted him and liked his tweets? Why have his proxies and surrogates endorsed and encouraged Manfredonia?

If Byrne’s smear campaign is a thing of the past, why has Cohodes kept it going? How can Cohodes go on and on about how Overstock has changed when he has made sure that it has not, that it is still a company you daren’t criticize?

Cohodes endorses and enables trolls who hide behind anonymous handles while attacking Overstock critics. Anonymity is OK with Cohodes—except when that anonymous person is critical of Overstock. Cohodes has posted obsessively, sometimes multiple times a day, to intimidate and hector the Overstock critic “unemon1,” who has posted skeptical views concerning the company’s blockchain venture.

What is this childish name-calling supposed to be, an attack on my credibility? It isn’t. It’s an attack on Cohodes’s credibility, and a convincing one.

It’s sad to see a person who used to challenge bullies become a bully himself, in the service of an even bigger bully.

That line from Pogo comes to mind: “We have met the enemy, and he is us.”

Conclusion: The Media Needs to Wake Up

In his Overstock pump, Marc Cohodes has justified everything he has said and done on the basis of the stock market performance of this ridiculously hyped company. It is as if to him there is no such thing as right or wrong, just how well he and Byrne pump the stock. If the stock goes up, everything he says is right. If it goes down, everything he says is wrong.

I would suggest that a portfolio is no substitute for a conscience.

Cohodes frequently falsely suggests to his peanut gallery on Twitter that my criticism of his lionizing of Patrick Byrne, and my concerns about the CEO's integrity, are the same as a recommendation to sell or short the stock. Investors need to make up their own minds based on the facts. I am not an investor, long or short.

I’ve been out of the stock market for almost ten years, and I have never recommended a buy or a sell, much less a short sale, of this or any stock. I certainly would not recommend a buy or sell of a stock that is being openly manipulated like this one, a subject of irrational hype, in which critics are subjected to personal attacks, and in which the media is too co-opted, indifferent or intimidated to engage in skeptical reporting.

In reading various Twitter discussions among journalists about Overstock, it is striking how reporters I deeply respect keep rationalizing why they do not write critically about the CEO some of them found to be so intriguing in 2007. I think some soul-searching is in order.

Cohodes has been spared the scrutiny that he deserves. The profiles of him that have appeared recently have been one-sided and superficial. Whether this is due to laziness or his cultivation of the press is hard to say.

Cohodes has built a reputation on his stock picks, and his word, amplified by the financial press, has driven up the price of the stock. But he has no verifiable recent track record.

We know that the last time he ran money for other people was when he was manager of a fund called Copper River. It collapsed in 2008. It was the only short fund to meet such a fate in what was otherwise a great year for short-sellers. He blames Goldman Sachs, but I wonder if Cohodes wasn’t at least equally to blame. No one forced him to keep his assets at Lehman Brothers even after it was plain that the company might be the next to go belly-up.

Here’s hoping that someday soon the media will wake up and give this company and stock promoter the skeptical attention they warrant.

It won’t be pleasant. Manfredonia has begun to include Roddy Boyd in his attacks. Some of them may get slime thrown at them and their families, perhaps even parents and spouses as Gary was. But the public deserves no less.

Overstock.com vs. Gradient and Copper River (aka Rocker) Part 3: Details of Countersuit

Michael Chertoff, former prosecutor and now Homeland Security Secretary called ‘Crazy Eddie' Antar, the "Darth Vader of American Capitalism." After reading Copper River's countersuit and independently researching Patrick Byrne's despicable, vile, and malicious acts (many of which are detailed in this blog, other blogs, and major media outlets), any rational person can conclude that Overstock.com CEO, Patrick Byrne, is the Sith Lord of American capitalism or rather the scum of American capitalism. As a criminal, I executed my crimes in cold blood and with a heartless soul. My own cruel, heartless, and vile past criminal conduct is apparently now surpassed by the baseless venom spewed by Patrick Byrne's irrational, cruel, vindictive, and evil actions.

Cooper River Partners accuses Overstock.com, Patrick Byrne, and others of securities fraud

The countersuit suit filed last Friday by Copper River Partners (formerly Rocker Partners) describes Overstock.com as a business, much like Crazy Eddie, built on deceit. The Copper River countersuit seeks both compensatory and punitive damages from the defendants including Patrick Byrne, his father Jack Byrne (former Board member), Jason C. Lindsey (President), Allison H. Abraham (Director and Audit Committee member), John A. Fisher (former Director), and unnamed "Roes" or yet to be identified defendants. Cooper River's countersuit details false, misleading, and deceptive disclosures by Patrick Byrne dating before Overstock.com's initial public offering in June 2002. The countersuit further alleges a conspiracy to inflate the value of Overstock.com's stock to finance the company's perennially money losing operations, after it went public.

Overstock.com, which was founded in 1997, has never had a profitable year, and has accumulated losses to date of over $230 million. According to the countersuit:

Overstock and its chief executive officer, Patrick Byrne, with the active and knowing participation, approval, and ratification of the company's Board of Directors, have made false claims that the company was profitable when it was not; false projections that it would become profitable when it could not; baseless projections of future revenues that were not attained; false statements that the company did not require additional capital; false predictions of success of new business ventures; and misleading mischaracterizations of the operation of the company's business and of its business prospects. They have tried to distract from Overstock's persistent failure to attain the results the company itself projected through accounting gimmicks that present a deceptive picture of the company's results of operations and, in some instances, represent highly questionable treatments under Generally Accepted Accounting Practices ("GAAP"). [Emphasis added.]

Many of Overstock.com's deceptive financial disclosures have been outlined in this blog, such as Copper River's charge that Patrick Byrne made "false claims that the company was profitable when it was not; false projections that it would become profitable when it could not; baseless projections of future revenues that were not attained; false statements that the company did not require additional capital...." For details, read my blog item entitled, "Patrick Byrne, the CEO of Overstock.com: A history of deception, deceit, and distortion - Part 1: The Early Days."

Cooper River's countersuit alleges that Overstock.com's management deliberately manipulated inventory reserves during the first three quarters of fiscal year 2006 in an effort to reduce net losses and increase financial results reported by the company prior to selling new common stock to raise capital in December 2006. This blog examined Overstock.com's misleading disclosures about its financial performance in a series entitled, "Did Overstock.com CEO Patrick Byrne cook the company's numbers and mislead investors?," Part 1, Part 2, and Part 3. I will continue to investigate and detail misleading disclosures by Overstock.com and other questionable activities by Patrick Byrne and others working in concert with him in future blog posts. In future blog posts, I will provide detailed analysis of Copper River's countersuit, too.

Cooper River Partner's charges Patrick Byrne with orchestrating a "desperate and malicious" campaign to silence the company's critics, including Copper River, and inflate the company's stock price:

Overstock and its senior management responded to public criticism with a desperate and malicious campaign to silence the company's critics, including Copper River, and inflate the company's stock price. As set forth in greater detail below, Overstock, Byrne, the company's other officers and directors, and other persons acting in concert with them
a. made false and misleading statements about the company's financial performance and business prospects to distract from legitimate criticism;
b. made false statements about the motives of its critics;
c. falsely accused its critics (and others with no known connection to or interest in Overstock) of conspiring to damage Overstock;
d. attempted to threaten, bully and intimidate critics, including members of the press, with false accusations of wrongdoing and vicious personal slurs; [Emphasis added.]

Very troubling is Patrick Byrne's assault on people who questioned Overstock.com's business model, its accounting policies, its financial disclosures, and its deceptions. According to the countersuit by Copper River, Overstock CEO, Patrick Byrne, orchestrated a "desperate and malicious" campaign to silence the company's critics, including Copper River and Gradient Analytics, to inflate the company's stock price.

As detailed in the countersuit and previous blog posts here, Patrick Byrne and others working in concert with him have attempted to discredit journalists, Wall Street analysts, Gradient Analytics (an independent research firm and co-defendant with Copper River), a 19-year-old teenage blogger, a divorced woman journalist, and other perceived enemies who stood in the way of his business and personal agendas. Patrick Byrne and his collaborators have used intimidation, harassment, threats, blackmail, anti-Semitism, and false accusations to attack the credibility of any person Byrne deems a threat to his agendas.

Patrick Byrne's chief henchman in carrying out his smear campaign is Judd Bagley. Bagley was officially hired by Byrne in August 2006 under the job title Director of Social Media and was recently promoted to Director of Communications and spokesman for the company. About three weeks after being hired, in September 2006, Judd Bagley created an anonymous smear web site, antisocialmedia.net, to stalk, disparage, harass, threaten, intimidate, blackmail, and smear Patrick Byrne's critics. In January 2007, Roddy Boyd of the New York Post exposed the fact that Judd Bagley was administering the web site on behalf of Patrick Byrne. Patrick Byrne has claimed that he is "not behind" antisocialmedia.net, "offers it no support," and that it has "nothing to do with overstock." As late as a week before Roddy Boyd's expose, Byrne denied knowing that Bagley was behind antisocialmedia.net. However, a thorough analysis in my blog post entitled, "The Deceptions of Patrick Byrne (CEO of Overstock.com) and Judd Bagley (Director of Social Media at Overstock.com)," shows Byrne's claims to be implausible.

According to Copper River's countersuit:

Until his identity was revealed by a reporter for the New York Post, Bagley launched his attacks anonymously in an effort to conceal his direct relationship with Overstock. He continues to use multiple pseudonyms to send email and post messages on the internet. Bagley and Overstock have also used electronic spyware embedded in emails and message board posts to spy on and intimidate Overstock's critics. Much of Bagley's efforts on behalf of Overstock were attempts to vilify, harass, and discredit financial reporter and author Gary Weiss, another outspoken critic of Overstock's business and management. [Emphasis added.]

Patrick Byrne has permitted Judd Bagley to post anonymously on internet message boards under multiple pseudonyms to stalk, disparage, harass, threaten, intimidate, blackmail, and smear his critics. The O-Smear blog has detailed how Overstock.com's own internal computers were used to edit the antisocialmedia.net smear web site.

Many of those persons, who researched, questioned, and exposed Patrick Byrne's despicable, malicious, and vile actions have been the target of his baseless vile hatred and cruel attacks. This blog has detailed how the unprincipled and nauseating Judd Bagley permitted his advisor on capital markets, Edward Manfredonia, to post vicious anti-Semitic comments on antisocialmedia.net. After, Judd Bagley found out that I was investigating Edward Manfredonia's anti-Semitic comments, Bagley threatened my future employment and family using a pseudo-anonymous alias on a Yahoo message board. In a posted message on the Yahoo chat board, under his alias panamapump, Judd Bagley listed my internet visits to antisocialmedia.net and angrily issued the following threat:

On behalf of your family and in the interest of your own employability I ask you never to visit ASM [antisocialmedia.net] again.

Another target of Patrick Byrne's baseless and vile hatred had been investigative journalist, book author, and blogger Gary Weiss. In a blog post entitled, "Open Letter to the Audit Committee of Overstock.com: About how Patrick Byrne's vindictive smear campaign uses threats and anti-Semitism," I detailed how Judd Bagley let a person post physical threats directed against Gary Weiss on the antisocialmedia.net, smear web site. The following threat was posted in September 2006:

He should be looking over his shoulders more carefully when he wants to engage in disrespectful behavior with people that will hurt him…economically, emotionally, and probably physically. Hey Gary…Louie P and Benny S. say hi…you $cumbag."

That threat was finally deleted from antisocialmedia.net in June 2007, after I notified Overstock.com's Audit Committee. Shortly after that threat was deleted, Judd Bagley permitted his pal Edward Manfredonia to post new vicious anti-Semitic slurs on antisocialmedia.net. Edward Manfredonia's new slurs were deleted after new Overstock.com board member, Joseph J. Tabacco Jr., intervened.

According the Copper River's counter suit, Judd Bagley stalked and tried to intimidate 19 year old teenage blogger, from AOL Money & Finance, Zac Bissonnette. In a blog post entitled, "Judd Bagley, Director of Communications at Overstock.com, stalks a teenage blogger," I detailed Judd Bagley's threats to Zac Bissonnette.

Copper River's countersuit details other irrational, baseless, vile, and malicious attacks on other journalists by Patrick Byrne:

Byrne and Overstock continued their efforts to distract the market from the substantive questions raised by Copper River, Gradient, McLean, and others by bullying and disparaging Overstock's critics with false accusations and personal abuse. In response to McLean's Fortune article, Byrne sent her an email in which he referred to the article as "crap" and closed by asking, "so why exactly did you become a reporter? Giving Goldman traders blow-jobs didn't work out? [Emphasis added.]

Patrick Byrne has falsely and maliciously attacked CNBC contributor, Wall Street Journal and MarketWatch columnist Herb Greenberg. According to Copper River's countersuit:

Byrne accused Greenberg of being a "crooked reporter" paid by hedge funds to write "hatchet jobs" on stocks the hedge funds have sold short -a claim that Greenberg denies and Byrne has never substantiated.

Many other journalists have been subjected to irrational, cruel, and malicious smears by Judd Bagley acting on behalf of Patrick Byrne. According to Copper River's countersuit:

For example, after Bloomberg reporter Susan Antilla wrote an article critical of Overstock in February 2007, Bagley wrote a pseudonymous post to an internet message board challenging Antilla's objectivity by claiming falsely that she was married to a hedge fund manager. Bagley responded to articles critical of Overstock by New York Times columnist Joe Nocera with another pseudonymous post asserting that Nocera was a "hack" who had "sold his soul" and was fabricating his stories. In August 2007, moreover, Bagley sent a threatening email to a 19-year-old student who runs a satirical web site about stocks and who had made a humorous posting about Byrne.

According to Copper River's countersuit Overstock.com has used "anonymous agents" on the internet to harass and intimidate critics:

Overstock has also used anonymous agents to attack, threaten, spy on, and disparage the company's critics on internet message boards and on websites that those agents control.

Apparently, Patrick Byrne rewards his cronies very well for their services. According to Copper River's countersuit:

Further, in some cases, individuals who have most vigorously promoted Overstock's shares and attacked its critics have been rewarded with employment at Overstock.

Recently, Overstock.com hired Evren Karpak, a message board troll, who together with Judd Bagley attempted to blackmail the O-Smear blogger, known as Scipio Africanus (pen name). The O-Smear blog has provided detailed information about Patrick Byrne's smear campaign and Judd Bagley's use of spyware to collect information on Byrne's critics on the internet.

In my blog post entitled," InvestorVillage is the place for Overstock.com CEO Patrick Byrne, his henchman Judd Bagley, and their cronies," I detailed how both Judd Bagley and Evren Karpak, now officially employed by Overstock.com, used the InvestorVillage message boards, the antisocialmedia.net smear web site, and the Yahoo message boards in an attempt to intimidate and blackmail O-Smear blogger, Scipio Africanus into silence.

On May 13, 2007, in a post (message number 7306) on InvestorVillage, under his alias De Daumier-Smith, Judd Bagley threatened Scipio Africanus:

This is going to get very interesting, very quickly, folks. To quote Patrick, I'm going to do Scipio "slow."

On June 14, 2007, Judd Bagley sent Scipio Africanus an email threatening blackmail. He wrote:

I'm also very much aware of the impact this could have on your reputation, especially where you live, and I feel obligated to offer you a way out. So, if you're ready to set things right, I'll keep your name to myself and figure we'll both be karmically better off for it.

Copper River's countersuit alleges:

Although this conduct by Overstock, Byrne, and Bagley is unlawful and violates Overstock's own code of ethics, the Director Defendants have never taken any action to prevent it.

Other than maybe the newest board member, Joseph J. Tabacco, Jr. in certain limited situations, I would have to say that I agree with Copper River that Overstock.com's board of directors has its head in the sand.

Other individuals have been rewarded for helping further Patrick Byrne's vile agendas. According to Copper River's countersuit:

At the same time, in or around November 2004, Overstock and Byrne obtained help in their scheme to inflate Overstock's share price and silence its critics from an internet stock tout who operates under the pseudonym Bob O'Brien. "O'Brien" later continued these efforts through his organization, the so-called National Coalition Against Naked Short Selling ("NCANS"). Plaintiff Mary Helburn is the Executive Director of NCANS and Byrne has admitted providing substantial amounts of money to NCANS.
"O'Brien" began touting Overstock on investor message boards without disclosing his true identity or his relationship to Overstock and Byrne. In fact, at all times relevant to this Cross-Complaint, "O'Brien" was acting as Overstock's agent.... [Emphasis added.]

A co-plaintiff of Overstock.com in its litigation against Copper River and Gradient is Mary Helburn, the Executive Director of the National Coalition Against Naked Short Selling ("NCANS"). Prior to Overstock.com and co-plaintiff Mary Helburn filing their lawsuit against Copper River and Gradient, Patrick Byrne, in different stories, claims that he contributed from $20,000 to $75,000 to NCANS to place an advertisement in the Washington Post about naked short selling.

We need to ask, did Patrick Byrne buy a co-plaintiff and an ally in his litigation and smear campaign against Copper River and Gradient?

In February 2005, Patrick Byrne had originally claimed that he donated only $20,000 to NCANS for the Washington Post ad:

We came out swinging last week with a full page ad in The Washington Post, explaining this issue. It cost $100,000: I donated about $20k of that, and spent a lot of time working with O'Brien through email (as I have never met him yet), getting the ad just right. Meanwhile, he opened his ncans.net site, which explains all of this thoroughly.
In the last few days, The Empire Has Begun To Strike Back. [Emphasis added.]

Patrick Byrne had claimed that he told Dow Jones Newswire journalist Carol A. Remond:

Carol was adamant that you [Phil Saunders aka Bob O'Brien] and I have been cooking up this plan for months. I confirmed for her that I have cooperated in the writing of the Washington Post ad and contributed money to run it. I told her, however, that lots of the money for the ad came in the form of $200 checks from grandmothers (who really have no business doing this), and that in fact, at least $40,000 (O'brien - probably more than $50K) had come in from such folks. She asked if it was safe to infer that you and I had contributed the rest, and I said it was: still, she seemed not to believe that any money had come in from anyone but me and you. (O'Brien - she has received dozens of emails from people who contributed, so it is difficult to be charitable at this point as to why she is ignoring those actual testimonials). [Emphasis added.]

However, on May 28, 2007, in a post (message number 7655) on InvestorVillage.com, Patrick Byrne now admitted to donating $75,000 of the $100,000 cost for the NCANS Washington Post ad. Responding to a question asked by another message board participant, Patrick Byrne using his alias Hannibal wrote:

How much was paid to the National Assn. Against Naked Shortselling?:
A COUPLE YEARS AGO I DONATED AROUND $75K TO NCANS (I ASSUME THAT IS WHAT YOU MEAN?) BUT BOBO [Phil Saunders aka Bob O'Brien] USED THAT TO BUY AN AD IN THE WASHINGTON POST SO I DO NOT THINK OF THAT AS A "PAYMENT" TO BOBO. [Emphasis added.]

Tracy Coenen, a noted forensic accounting expert and author took issue with Patrick Byrne's new story and asked Patrick Byrne for a response. Byrne posted a response in her blog:

Patrick Byrne on June 26th, 2007 8:55 pm Hi Tracy,
“So, Patrick…. how much was really given to NCANS for this Washington Post ad? And why does the amount change in your posts on message boards?”
Because I sent NCANS $22k, then about $25k a few weeks later, and then some time later, I think, another wire of around the same amount. I’m not sure if I did send a third. So in May when asked I rounded up and responded “75k”.

We need to ask, was Patrick Byrne backdating his contributions to NCANS for its Washington Post ad?

Originally, Patrick Byrne had claimed that "at least $40,000 (O'brien - probably more than $50K)" came from "grandmothers...and such folks" and the balance of the $100,000 cost was donated by him and O'Brien. In February 2005, Byrne claimed that he specifically donated $20,000 towards the cost of the Washington Post ad. In May 2007, Patrick Byrne changed his story and claimed that he donated $75,000 of the $100,000 cost. If "grandmothers...and such folks" donated "at least $40,000" or probably "more than $50K" about $60,000 to $50,000 or less of Byrne's $75,000 contribution can be applied to the cost of the Washington Post ad. Where did the other $15,000 to $25,000 or more from Byrne's donation go? There are similarities here to the government's allegations against the Milberg Weiss law firm which is accused of buying plaintiffs for lawsuits.

After the Washington Post ad was published, Phil Saunders aka Bob O'Brien, who helped start NCANS, threatened Copper River's Marc Cohodes. According to Copper River's countersuit:

Overstock's agent O'Brien also made personal threats against the family of defendant Cohodes in response to Copper River's short trading activity. In February 2005, O'Brien was aggressively promoting a sub-prime mortgage lender called Novastar Financial. Copper River was a critic of Novastar, based on its belief that Novastar's business model amounted to a sophisticated Ponzi scheme. On an internet message board concerning Novastar, "O'Brien" posted threatening messages with a picture of Cohodes's disabled son, information about Cohodes's family, and the Cohodes family's home address. After posting that personal information, "O'Brien" included the threat that "[t]his is coming on game over time."
Copper River's assessment of Novastar proved to be true; its stock price later collapsed, causing losses of hundreds of millions of dollars to small investors. [Emphasis added.]

Allegations of stock market manipulation through a short squeeze and orchestrating a Securities and Exchange Commission investigation based false allegations by Overstock.com, Patrick Byrne, and three former Gradient employees

Cooper River's countersuit alleges that Byrne and his cohorts engaged in stock market manipulation and attempted to have the SEC investigate both Copper River and Gradient on false charges. According to Copper River's countersuit:

Overstock, Byrne, the company's other officers and directors, and other persons acting in concert with them....
e. orchestrated illegal "short squeezes" in order to inflate the price of its stock and injure investors with short positions in the stock;'
f. brought this lawsuit premised on assertions of fact that Overstock, Byrne, and the Director Defendants knew to be false and supported those false allegations with a perjured affidavit of a former Gradient employee elicited by Overstock, Byrne, and the Director Defendants;
g. made false allegations of fact and provided false and misleading documents to the Securities and Exchange Commission to convince the SEC to open an unwarranted investigation of the independent stock research firm Gradient Analytics, Inc. ("Gradient") and to subpoena Copper River and Overstock's critics in the financial press (which investigation was closed with no enforcement action, no findings of wrongdoing, and the issuance of a "no action" letter by the SEC);
h. publicly misrepresented the investigation of Gradient, as well as the SEC's continuing investigation of Overstock itself, as an indication of wrongdoing by Copper River and its principals. [Emphasis added.]

For example, Copper River's countersuit states:

When asked about the December 2003 short squeeze, Byrne replied, "when opportunities come along where we can knee the shorts in the groin, that's always good for fun and amusement."

In my previous blog item entitled, "Overstock.com vs. Gradient and Rocker Part 1: Patrick Byrne and his Three Stooges," I examined credibility issues arising from conflicting, inconsistent, and contradictory allegations of the three former Gradient employees against Gradient and Copper River (formerly Rocker Partners). In another blog item entitled, "Did Patrick Byrne, CEO of Overstock.com, Deliver a Trojan Horse to the Securities and Exchange Commission?," I raised the question as to whether Patrick Byrne used his company's lawsuit against Gradient Analytics and Rocker Partners as a "Trojan Horse" diversion tactic to the Securities and Exchange Commission in an effort to thwart their inquiries and later investigation of Overstock.com and him.

Gradient Analytics independent research reports apparently ticked off Patrick Byrne. According to Copper River's countersuit:

In response to a Gradient report questioning the independence and competence of Overstock director Gordon Macklin, who had served as a director of WorldCom during the period it perpetrated the largest financial fraud in U.S. history, Byrne sent an ernail to Donn Vickrey of Gradient. That email stated, "You deserve to be whipped, fucked, and driven from the land." [Emphasis added.]

Cooper River's countersuit provides additional information that further discredits the allegations of the three former Gradient employees and provides additional details on how Patrick Byrne used them to orchestrate the SEC investigation of Cooper River and Gradient.

On August 11, 2005, Overstock.com and co-plaintiff Mary Helburn sued Gradient Analytics, an independent research firm, and Rocker Partners (now Copper River Partners), a short seller. Overstock.com alleged that Gradient's research reports were purposely biased to benefit its customers and that it withheld publication of such reports to allow their clients to accumulate short positions prior to their issuance. Three former Gradient employees (Demetrios Anifantis, Robert Ballash, and Darryl Smith) had signed sworn declarations aka affidavits alleging wrongdoing by their employer.

A day after Overstock.com's lawsuit was filed against Gradient and Rocker Partners, Patrick Byrne revealed that the SEC started an informal inquiry of Overstock.com in February 2005 and that its inquiry "went nowhere." Around October 2005, based on the allegations of Overstock.com, Patrick Byrne, and the three former Gradient employees, the Securities and Exchange Commission started investigating Gradient Analytics. However, on May 9, 2006, the Securities and Exchange Commission started a formal investigation of Overstock.com, in contrast to Byrne's earlier claim that the SEC informal inquiry "went nowhere."

On May 17, 2006, Patrick Byrne received a personal subpoena from the Securities and Exchange Commission. However, Overstock.com waited almost an entire year, until May 9, 2007, to disclose Patrick Byrne's personal subpoena. In February 2007, the SEC dropped its investigation of Gradient, issued them a "no action" letter, and continued its formal probe of Overstock.com. On May 10, 2007, a day after Overstock.com disclosed Patrick Byrne's personal SEC subpoena, about a year late, Patrick Byrne had claimed that the SEC investigation was "not Overstock-centric" and that he was not the focus of their investigation despite the formal SEC probe and having received a personal subpoena from them. However, on August 10, 2007, Patrick Byrne finally admitted to being the "target" of a Securities and Exchange Commission investigation, in contrast to his previous denials.

There are many more details of alleged wrongdoing by Overtock.com, Patrick Byrne, and other persons working in concert with him in Copper River's countersuit. I will provide a thorough analysis of Cooper River's countersuit in future blog posts. In the mean time, Overstock.com's Board of Directors may want to read my blog post about a recent opinion by the Tenth Circuit on whether misrepresentations in financial statements incorporated by reference in a D & O policy application could serve as a basis for policy rescission under Utah law.

Judd Bagley has colluded with other persons such as Evren Karpak (a contributor to antisocialmedia.net and Overstock.com shareholder) to intimidate critics with threats, blackmail, and smears. In addition, Judd Bagley has colluded with the delusional Edward Manfredonia (an overt anti-Semite and Judd Bagley's admitted advisor), to use anti-Semitism, false accusations, innuendo and smears to harass critics of Patrick Byrne. Judd Bagley's, Evren Karpak's, and Edward Manfredonia's efforts have received the encouragement, endorsement, and support of Overstock.com CEO Patrick Byrne.

Patrick Byrne's vile and malicious smear campaign against his critics is a violation of Overstock.com's Code of Business Conduct and Ethics. Patrick Byrne's vile and malicious actions are in effect waivers or implicit waivers from Overstock.com's Code of Business Conduct and Ethics and are required by the company to be disclosed in Form 8-K to the Securities and Exchange Commission. Apparently, Overstock.com has not complied with that requirement.

Baby steps have been taken by Overstock.com's Board to reign in Patrick Byrne, since the appointment of Joseph J. Tabacco to Overstock.com's Board of Directors on June 6, 2007. However, make no mistake about it, Patrick Byrne is a tyrant and a bully CEO unable to handle exposure of his deceptions and smears. His vile efforts in concert with others to deflect from his evil actions still continue.

I call on the following independent members of Overstock.com's Board of Directors, Allison H. Abraham, Clay Corbus, and Joseph J. Tabacco to take steps to fire Patrick Byrne and his Director of Communications, Judd Bagley. Overstock.com General Counsel Jonathan Johnson who has apparently stood idly by as Patrick Byrne and Judd Bagley have engaged in rampant acts in violation of Overstock.com's Code of Business Conduct and Ethics should be fired, too. Do the independent Board members wish to be associated with the vile and malicious smears and anti-Semitism used by Patrick Byrne, Judd Bagley and their cronies to silence critics? Do they approve of the actions of their evil CEO, Patrick Byrne? So far, their efforts have been piece meal and inadequate to rein him in.

If Overstock.com, Patrick Byrne, Judd Bagley believe that my actions constitute libel, then sue me. I welcome the subpoena power that comes from discovery that goes both ways. Truth is always a defense.

Under pressure as a result of the fallout from his activities Patrick Byrne is now consolidating his smear campaign against critics on Overstock.com's web site

Retreating from the fallout he has received resulting from his posts on internet message boards in furtherance of his vendettas against critics, Patrick Byrne will no longer be posting any new messages on them. However, he apparently will continue to smear his critics by posting on his home turf, Overstock.com's web site.

On July 6, 2007, in a bitter and rambling response (message number 8555) to a post on InvestorVillage by his antisocialmedia.net smear web site contributor and Overstock.com shareholder, Evren Karpak, a defiant Patrick Byrne sounded somewhat delusional about the inquiries that he received from his own Board of Directors and the Securities and Exchange Commission into his activities and the activities of his cronies acting in concert with him on stock message boards.

For example, Patrick Byrne wrote:

....And no, this decision was completely my own. As always, the bad guys display their total misunderstanding of reality: no one has brought the least pressure on me about my posting here (well, other than by a certain polite and proper government official, who politely and properly asked me why I post on message boards: I politely noted that the first amendment applies to me, too). And no, no one on this end cares a whit about the lengthy posts and laughable emails sent over and over to the board of directors in a fashion so laughable they dispel any doubt as to the clownishness of their author. They are serious people, they know the system is corrupt, and the incessant deposition-style posts and emails from a "hobbyist" (coupled with the cronyism from guys like Herb) are just additional proof of what I have been saying. As if further proof were needed at this point.... [Emphasis added.]

However, Patrick Byrne has minimized and belittled the impact my activities and other persons to stop his ugly actions by our alerting his Board of Directors and the Securities and Exchange Commission.

Patrick Byrne claims that "no one on this end cares a whit about the lengthy posts and laughable emails sent over and over to the board of directors in a fashion so laughable they dispel any doubt as to the clownishness of their author." We must ask, is Patrick Byrne lying or does Overstock.com's Board of Directors consider his vendettas against his critics a joke? In his post, Patrick Byrne claimed that he was in San Francisco. Two outside directors, Joseph J. Tabacco Jr, and Clay Corbus have their offices there. Did Patrick Byrne meet Mr. Tabacco and Mr. Corbus in San Francisco?

Patrick Byrne claims that Overstock.com's Board of Directors does not care about information related to his open violation of the company's Code of Business Conduct and Ethics. Apparently either Patrick Byrne is a liar or Overstock.com's Board of Directors believes that his violations of Overstock.com's Code of Business Conduct and ethics is a joke. Examine the timeline below, for evidence that Overstock.com's Board of Director and management, once confronted with the vile and malicious acts of Patrick Byrne and his cronies, took certain minimal actions to contain some of the damage to Overstock.com.

Therefore, Judd Bagley apparently reviewed Edward Manfredonia's new anti-Semitic remarks and smears before publishing them.

I noticed no denial of service attack as I visited antisocialmedia.net many times. Other false accusations, threats, and smears published in comments posted by other persons to Judd Bagley's posts on antisocialmedia.net disappear including the threat to Gary Weiss disappear and remain unpublished today.

Patrick Byrne praises his antisocialmedia.net contributor, Evren Karpak, who has used threats, smears, and blackmail in various messages posted over the internet against Byrne critics in his farewell post on InvestorVillage:

Previously, Patrick Byrne had expressed disappointment that his smear campaign on internet message boards might be perceived as separated from his role as CEO of Overstock.com

On April 1, 2006, on Overstock.com's web site, Patrick Byrne had discussed his reasons for taking his "act" to the Motley Fool message board for Overstock.com:

Patrick Byrne (CEO of Overstock.com) compares InvestorVillage to the British Parliament

In another blog post here, entitled, "InvestorVillage is the place for Overstock.com CEO Patrick Byrne, his henchman Judd Bagley, and their cronies," I described how InvestorVillage is a place that permits penny stock promoting, cyber stalking, anti-Semitic comments, threats and/or blackmail by either Patrick Byrne (CEO of Overstock.com), Judd Bagley (Director of Communications at Overstock.com) Evren Karpak (contributor to Overstock.com's antisocialmedia.net smear web site, and the delusional Edward Manfredonia (an advisor to Judd Bagley).

Patrick Byrne compares InvestorVillage, which continues to stubbornly refuse to delete anti-Semitic comments by its participants, with the British Parliament. InvestorVillage, in an act of defiance, still has not deleted anti-Semitic comments and smears posted on its web site by the delusional Edward Manfredonia (an advisor to Judd Bagley, Director of Communications at Overstock.com) since I notified them several times via e-mail on Thursday, May 31, 2007 and Friday, June 1, 2007.

On June 1, 2007, Patrick Byrne (CEO of Overstock.com) endorsed InvestorVillage in his new blog on Overstock.com's web site. He wrote:

Investigative reporter, blogger, and Byrne critic, Gary Weiss who is a target of Patrick Byrne's vendetta against the financial media, wrote in a blog item entitled, "Is the Overstock.com Board Rousing From its Slumber?," wrote:

Sam, you see, has been in touch by email with the Overstock board of directors concerning ASM. And as you can see from the post, one of Sam's emails quite obviously led to the deletion of some particularly vile reader comments from ASM, including a physical threat against myself from operators of Alpine Analytics that I have previously written about.

On March 8, 2007, four days after Patrick Byrne solicited smears for antisocialmedia.net in his post on InvestorVillage; Edward Manfredonia had posted the following anti-Semitic comments, smears, and delusions in a long winded rant antisocialmedia.net:

Several years ago I began to write that Gary Weiss had lied about the murders of Al Chalem and Maier Lehmann. Weiss attributed these murders to the Italian Mafia. Weiss knew that Chalem and Lehmann had been murdered by the Russian Mob.
What is important to note that after I had posted that Weiss had lied about the murders of Chalem and Lehmann, Floyd Schneider, under the psuedonym The Truthseeker, posted on a message board, I believe that it was Silicaon Investor, a long article. This article delineated Chalem's Mafia contacts.
But Floyd Schneider did not write the article. This article was written in the turgid, constipated style of Gary Weiss.
This is important for several reasons.
The first is that it is painfully obvious that Floyd Schneider does not author his own scribblings- except for short moronic messages that he posts on message boards.
The second is that Floyd Schneider is obviously fronting for individuals, who have a specific agenda. In this instance it was Gary Weiss, who lied about the murders of Chalem and Lehmann. In other instances Schneider is fronting for short sellers.
While Al Chalem had previously had connections with the Italian Mafia, Lehmann refused to have anything to do wth the Italian Mafia.
Lehmann's partners in his stock frauds were Orthodox Jews, many of whom, such as Feivel Gottlieb, were members of his synagogue.
This was known to Gary Weiss, a great defender of Israel, and to Weiss' editor, Seymour Zucker.
Seymour Zucker and Feivel Gottlieb belonged to the same Talmud study group.
Seymour Zucker knew that Feivel Gottlieb was involved in the stock frauds of Maier Lehmann. Zucker knew that Gottlieb had earned millions in the stock frauds of Maier Lehmann, who was descended from a long line of Rabbis.
Weiss knew of the involvement of Orthodox Jews in the stock frauds of Maier Lehmann, but Weiss refused to expose the stock frauds of Maier Lehmann because Weiss would have been compelled to expose the involvment of an entire Orthodox synagogue in the stock frauds of Maier Lehmann.
Better to attribute the murders of Chalem and Lehmann to the Italian Mafia- and obtain a book contract. (Even though the book bombed.)
60 Minutes would never have Weiss appear if Weiss were to attribute the murders of Chalem and Lehmann to the Russian Mob, which was created by the Jackson-Vanick Act. Every parent, whose child uses ecstasy, can thank the Russian and Israeli Mobs for their child's drug abuse. And this was stated by the State Department several weeks ago.

On April 2, 2007, in a post (message number 6052) on InvestorVillage.com using his alias De Daumier-Smith, Judd Bagley defended the delusional Edward Manfredonia's anti-Semitic comments, false accusations, and smears:

A supporter of Patrick Byrne had boasted in a post (message number 5943) on InvestorVillage that Judd Bagley had "many lengthy conversations" with Edward Manfredonia:

On January 31, 2007, in a post (message number 4287) on InvestorVillage.com, using his alias Hannibal, Patrick Byrne wrote that he is "an avid reader and raving fan" of antisocialmedia.net.

Patrick Byrne shares the same delusional theories as Edward Manfredonia

Jeff Matthews, in a blog item entitled, "Conspiracy of the Jews?-Part II," wrote:

The interview took place on Friday December 16th, and it lasted for an hour and a half. (You can listen to it at a speeded-up rate in far less time on the CFRN web site).
In the midst of the usual paranoid-sounding diatribe against the so-called naked short-selling scandal, Byrne is encouraged to get specific about the root causes of the problem. The host asks:
"Are we dealing with the traditional old-boy network or has organized crime gotten involved?"
To this, Patrick Byrne says the following, and I quote him:
"Every rabbit hole you go down leads to either [sic] the Italian mob, the Russian mob or the Israeli mob, and nobody's ever asked about that, and I haven't pressed the issue...but every rabbit hole you go down you end up in one of those three places....
"The Israeli mob and the Russian mob are the two ones [sic] who scare me."
Those are the words of Patrick M. Byrne, CEO of Overstock.com. I am not making them up.
Byrne goes on to discuss, briefly, the "Russian mob" as a kind of band of marauders who perpetrate scams and then retreat to their "dachas" on the Caspian Sea for a break before the next scam.
He elaborates in far greater detail on the nefariousness of the so-called "Israeli mob":
"If you Google ‘ecstasy Israeli mafia' you'll find articles that basically the Israeli mob...is thought to control 75% of the ecstasy trade in the United States."
Now, as with Byrne's bringing up Thomas Friedman's supposed pro-Israel tendencies in a Motley Fool rant, I find it hard to understand how Israel's supposed domination of the ecstasy trade in the United States relates to naked short-selling on the U.S. stock exchanges.
But let's assume, for a minute, that it does.
And let's do exactly what Patrick Byrne says: let's Google ‘ecstasy Israeli mafia' and see what we come up with.
Okay, I Googled the phrase and I got 30,600 results in 0.16 seconds.
Hmmm. Patrick Byrne appears to be right: when you type in those three words, you get articles that-this is incredible-accuse Israel of controlling the U.S. ecstasy trade!
Let's look at the first page, one link at a time.
The first two links are to the web site of an author touting a book he wrote about the rise and fall of an Israeli kingpin in the ecstasy trade, but he doesn't particularly focus on the Israelis-as-uber-mobsters angles that Patrick says "scare me."
The third listed link resulting from this Google search recommended by Patrick Byrne-and I am not making this up-is to the web site of Al Jazeera.
Yes, you have it right: that Al Jazeera.

After all, Patrick Byrne has termed his so-called campaign against naked short-selling as a "Jihad."

Recently, he has now mockingly called his so-called campaign against naked short selling a "mitzvah"

On June 24, 2007 after the fall out resulting from new anti-Semitic comments posted on antisocialmedia.net that were deleted at Board member Joseph J. Tabacco's request, Patrick Byrne commented on Overstock.com's web site:

I know from your emails that many of you are following my Mitzvah*....
* "Mitzvah" is a Hebrew word meaning (as I was taught, anyway) "obligatory good deed". For example, the "Ten Commandments" of the Old Testament are actually the ten Mitzvahs in the original (the word shows up in "Bar Mitzvah" and "Bat Mitzvah" as well). While at times my battle against Wall Street has been termed a "Jihad" (though I honestly do not remember who used that first, myself or my opponents), and later I called it a "Crusade," more recently I have settled on "Mitzvah" as the best term, as my actions pring less from any fervor, passion, or desire than they do from a sense of obligation. A "friend" and business associate of Patrick Byrne, claiming to be a Rabbi, attempts to defend him on InvestorVillage

On June 26, 2007, in a post (message number 8411) on InvestorVillage, using the alias mayerrice, Mayer Gniwisch wrote:

Shortly, Overstock.com's Board of Directors and its Audit Committee should be meeting to approve the release of the company's second quarter numbers. Let's see if they sign off on Overstock.com's disclosures to the Securities and Exchange Commission and take appropriate action against Patrick Byrne and his cronies.

There is a fellow named Sam who, as he proudly points out, is a convicted felon (he is less proudly open about the fact that he ratted out some family members in order to save his own skin). He is not in prison now, and makes a "hobby" out of clogging message boards with deposition-style questions for and non sequitors about me, posted round-the-clock (see example below). The miscreants are running low on new cronies willing to join their group (the sane journalists have woken up to what is going on, and even let me know that they see it), so Sam is being promoted to the rarified ranks of Crony-in-Training (Herb had Sam on a few nights ago - now we see Herb quoting Sam in his stories, Sam quoting Herb, etc. etc.) Sam has been blasting me, our board, our lawyers etc. with more of the same, and, as he makes clear, government officials as well. He asked (at the bottom of the enclosed letter) that the following not be made public, but I think that his letter tonight, exhibiting as it does the highest ratio of claims to evidence, the purest falsehoods, and the least supported assumptions, that I can recall being packed into one of his missives, is too sweet to be kept private.

Sam writes now to suggest that I withheld some key component of his argument.
